Plain-language summary: Use KSMS lawfully, protect your account, enter game information carefully, and obtain permission before submitting another person’s information. KSMS supports game operations, but its displays and calculated statistics do not replace an organizer’s official scorebook or governing-body decisions unless that organizer expressly designates them as official.
1. Agreement
These Terms of Use (“Terms”) form an agreement between you and Knubian Inc. (“Knubian,” “we,” “us,” or “our”), an Ontario corporation. By visiting Knubian.net, creating an account, accepting an invitation, operating a game, viewing restricted information, or otherwise using KSMS, you agree to these Terms and the KSMS Privacy Policy.
If you act for a school, league, team, club, business, or other organization, you confirm that you have authority to accept these Terms for that organization. If you do not agree, do not use the Services.
2. Services
“Services” means Knubian.net and KSMS features, including scoreboards, clocks, Watch and Projector displays, game sessions, rosters, statistics, minutes tracking, reports, exports, teams, leagues, invitations, assignments, account areas, and related tools.
Features identified as demonstrations, pilots, previews, beta features, or works in progress may change, contain errors, or be withdrawn. We may improve, replace, restrict, or discontinue features where reasonably necessary, subject to applicable law and any express paid commitment.
3. Eligibility, guardians, and youth accounts
General adult accounts are for adults who can legally enter this agreement. A parent or legally authorized guardian must create and supervise a guardian-managed youth account and provide permissions required by law and by the applicable organization.
You may not create an adult account for a minor, misstate age or authority, or bypass safeguarding controls. Schools, leagues, teams, venues, and organizers remain responsible for screening, supervision, emergency procedures, consent, eligibility, and child-protection obligations.
4. Accounts, invitations, and roles
Provide accurate information, protect your credentials, use only your own account, and report suspected unauthorized access. Access may depend on an invitation, paid entitlement, membership, guardian relationship, organizational authority, or assigned station such as Scoreboard, Stats, or Minutes.
An invitation or role grants only the authority shown in KSMS. It does not grant ownership of Knubian technology or authority outside the applicable team, league, organization, or game. We may require reasonable identity, guardian, organization, role, or payment verification before enabling sensitive actions.
5. Live operations, records, and statistics
Sports information is entered by human operators and may be affected by operator decisions, devices, venue networks, connectivity, synchronization, rules interpretation, corrections, or information supplied by teams and organizers.
Unless an organizer expressly designates a KSMS record as official, KSMS displays, statistics, minutes, reports, exports, and history are operational or informational records. They do not replace an official scorebook, referee decision, governing-body ruling, eligibility decision, medical assessment, employment record, academic record, or legally binding certification.
Authorized users may correct information, and KSMS may preserve revisions, approvals, timestamps, attribution, and audit records. You must not falsify, manipulate, erase, or misrepresent scores, clocks, game events, player identity, eligibility, injuries, approvals, or operator credits.
6. Acceptable use
You must not:
- use KSMS unlawfully, fraudulently, abusively, or to harass, threaten, exploit, or discriminate;
- submit names, images, video, rosters, statistics, health-related indicators, or other personal information without appropriate authority;
- interfere with a live game, another account, access control, rate limit, synchronization process, or stored record;
- introduce malicious code, probe security without written permission, scrape restricted areas, or overload the Services;
- reverse engineer, copy, sell, sublicense, or create a competing service from protected components except where the law does not permit that restriction; or
- make high-impact decisions about a person solely from automated, incomplete, or unverified KSMS statistics.
7. Paid services
Some capabilities may require an annual membership, licence, event fee, or other payment. The price, currency, term, included features, renewal method, cancellation rights, refund terms, and taxes will be disclosed before purchase or in a separate written agreement. Specific purchase terms govern if they conflict with these Terms.
A service will not be treated as automatically renewing unless automatic renewal is disclosed before purchase and permitted by law. Non-payment may suspend paid capabilities. Access to existing information will be handled according to applicable law and the relevant service terms.
8. Content and intellectual property
You retain rights you hold in information and material you submit (“Your Content”). You give Knubian a non-exclusive, worldwide, royalty-free licence to host, reproduce, process, transmit, display, back up, and adapt Your Content only as reasonably needed to provide, secure, support, and improve KSMS or comply with law.
You confirm that you have authority to submit Your Content. You are responsible for visibility choices and for whether content is private, shared with an organization, or publicly displayed.
KSMS software, source code, designs, branding, workflows, documentation, and other Knubian materials belong to Knubian or its licensors and are protected by intellectual-property laws. Except for the limited permission to use KSMS under these Terms, no rights are transferred.
9. Availability, offline operation, and third parties
We work to keep KSMS reliable, but uninterrupted or error-free operation cannot be guaranteed. Internet service, venue networks, browsers, devices, electrical power, printers, displays, hosting, email, payment providers, and other third-party systems may affect operation.
Where offline or synchronization features are available, operators must follow operating instructions, verify devices and clocks, and confirm synchronized results. A cached, stale, or delayed spectator display may not reflect the current game state.
Third-party websites and services have their own terms and privacy practices.
10. Disclaimers and limitation of liability
To the maximum extent permitted by law, KSMS is provided “as is” and “as available.” We disclaim warranties that may lawfully be disclaimed, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability. Nothing excludes a right or remedy that cannot legally be excluded.
To the maximum extent permitted by law, Knubian will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, opportunities, goodwill, or data. Knubian’s aggregate liability for a paid Service will not exceed the amount paid for that Service during the twelve months before the claim arose. For free Services, the aggregate limit is CAD $100.
These limits do not apply where prohibited by law or to liability that cannot legally be limited.
11. Suspension and termination
You may stop using KSMS at any time. We may restrict or suspend access when reasonably necessary to protect users, youth, live events, data, security, payment rights, legal compliance, or the Services; investigate misuse; or respond to a material breach. Where appropriate and required, we will provide notice and an opportunity to address the issue.
Provisions concerning ownership, outstanding payment, disclaimers, liability, and governing law survive termination.
12. Changes, governing law, and general terms
We may update these Terms when KSMS, legal requirements, security needs, or business practices change. We will post the revised version and provide additional notice or seek express acceptance where required.
These Terms are governed by Ontario law and the federal laws of Canada applicable in Ontario. Subject to mandatory consumer rights, disputes will be brought before courts located in Ontario.
If a provision is unenforceable, the remainder continues. Failure to enforce a provision is not a waiver. You may not transfer these Terms without consent. Knubian may transfer them with the relevant business, subject to law. These Terms, the Privacy Policy, and applicable purchase or organizational agreements form the agreement concerning KSMS.
